Coaches and mentors agreement
Please read this Agreement carefully before signing up as a Coach or Mentor with Physicians Anonymous (https://stage4pa.physiciansanonymous.org/) operated by Physicians Anonymous Inc. (8 The Green, Ste 6969, Dover, DE, US).
By signing up as a Coach or Mentor, you certify that you have read and reviewed this Agreement, and that you agree and comply with its terms.
Physicians Anonymous Inc. and you as a Coach or Mentor are at times hereinafter referred to as the “Parties” and each a “Party”.
Subscriber
You provide your Coaching or Mentoring services through being a subscriber to the Physicians Anonymous website operated by Physicians Anonymous Inc. Under this agreement, you are not a contractor of Physicians Anonymous Inc. In addition, in accordance with such status as a subscriber, you covenant and agree that you will not by reason thereof, make any claim, demand or application to or for any right or privilege applicable to an officer or employee of Physicians Anonymous Inc., including but not limited to, Workmen’s Compensation coverage, Unemployment Insurance benefits, Social Security coverage, or employee retirement or credit. You understand that you are responsible for all your cost and expenses, including, but not limited to, phone, internet, printing, and other office and operational expenses related to this Agreement, except on occasions and/or in matters where explicitly agreed otherwise in writing by the Parties. Furthermore, no travel expenses are covered, unless they are authorized in advance in writing by Physicians Anonymous Inc. You are responsible for your own taxes and any related on unrelated expenses.
Indemnification
You will protect, defend, indemnify, and forever save and keep harmless Physicians Anonymous Inc., its Trustees, employees, and agents, against any and all damages, fines, penalties, judgments, expenses, or charges suffered, imposed, assessed, or incurred for any violation or breach of any law, ordinance, order, rule, or regulation or occasioned by any act, neglect, or omission by you in the performance of your duties and services with respect to the Agreement.
Assignment
This Agreement shall not be assigned or transferred by either party without the written consent of the other. You, however, understand that Physicians Anonymous Inc. might present the profiles of other Coaches or Mentors as well, or engage the services of one or more Consultants. Other than as expressly provided by this Agreement, any attempted assignment, by operation of law or otherwise, shall immediately terminate this Agreement.
No modification, amendment, or waiver of this Agreement shall be effective unless in writing and duly executed and delivered by each party to the other.
All data, products, and intangible rights of whatever kind and nature to any product of this Agreement, and any royalties received for same, will be the property of Physicians Anonymous Inc..
Termination
Either party may terminate this Agreement at any time for any reason, or no reason, consistent with applicable state and federal laws by giving ten (10) days notice to the other party in writing. In the event of such termination, each party will take the necessary steps to properly terminate work in progress expeditiously.
Confidentiality
You will treat information received in connection with Physicians Anonymous Inc. as confidential and proprietary business information. You will maintain the confidentiality of all such information and will disclose it to third parties only with the expressed written consent of Physicians Anonymous Inc..
Conversely, we will treat your personal information confidentially. That is, if you decide to sign up as an anonymous Coach or Mentor, we will honor your wish and make only your pseudonym and avatar public on our site, and not your actual name or photo.
This Agreement shall be governed by and construed and interpreted in accordance with the laws of the State of Delaware.
This Agreement sets forth the parties’ final and entire agreement with respect to its subject matter and supersedes any and all prior understandings and agreements, whether written or oral.
Scope of work for services offered by coaches and mentors
You will perform individual or group coaching or mentoring services for physicians, residents, and/or medical students, through Physicians Anonymous: https://stage4pa.physiciansanonymous.org/
You will have your own liability insurance or similar insurance, and in case of any legal dispute between you and your clients, you will take all and full responsibility and will take all necessary actions to resolve such disputes.
You will perform your coaching or mentoring services in accordance with your own coaching or mentoring practices.
You will at all times have a protocol for dealing with a client who is at risk of harm to self or others. This protocol may include, but not be limited to, advising the client to contact their local mental health crisis service, therapist, psychiatrist, Emergency Room, dial 911, or the National Suicide Prevention Line on 988.
You cannot solicit clients to perform financial services for them or sell any products (including but not limited to real estate, financial products, or dietary supplements), or services other than the coaching or mentoring services described in this Agreement.
You will provide your coaching or mentoring services through https://stage4pa.physiciansanonymous.org/, as follows:
- Physicians Anonymous Inc. will provide a profile page template to you, and you will fill out and submit to Physicians Anonymous Inc. this profile page with information about you and your coaching or mentoring services.
- Physicians Anonymous Inc. will create a Coach Profile page or Mentor Profile page for you on https://stage4pa.physiciansanonymous.org/ based on the information that you provided.
- You will send to Physicians Anonymous Inc. a copy of your credentials in order to have your coach or mentor profile activated
Booking/scheduling and payment processing
Clients book/schedule their individual or group sessions via the your Coach Profile page or Mentor Profile page.
- When clients click on the booking button, they will be taken to your scheduler (e.g. Calendly) and pay by using your payment processor
- Your payment processor page may be embedded into the https://stage4pa.physiciansanonymous.org website
- You will add to their Calendly or other scheduler site a link to https://stage4pa.physiciansanonymous.org thank you page, once that link is available
If you do not have your own payment processor or scheduler, Physicians Anonymous Inc. can provide information on how to set them up. Physicians Anonymous Inc. may provide technical assistance to you to set up their scheduling and payment processing platforms for an hourly fee of $150 (one hundred and fifty USD) upon your request.
Setup and subscription
As a special courtesy, Physicians Anonymous Inc. will waive the one-time setup fee of $100 (one hundred USD) to cover the expenses of setting up your Coach Profile or Mentor Profile page and add your scheduler link(s) to your profile page.
Physicians Anonymous Inc. will also waive the Coach / Mentor monthly membership of $100 (one hundred USD).
As such, signing up through this link is free.
Additional work orders
Services and the specific details of each assignment or task (“Services”) that are in addition to this Agreement may be separately negotiated and specified in a written work order on terms acceptable to the parties thereto in a “Work Order”. Upon execution by the Parties, each Work Order will constitute an integral part of this Agreement. No Services additional to this Agreement shall be commenced and neither Party shall be obligated with respect to any assignment or task until an applicable Work Order has been executed by both parties, nor shall either party be obligated to enter into any Work Order hereunder. In the event of any inconsistency between this Agreement and any Work Order, this Agreement shall control except to the extent that the applicable Work Order expressly and specifically states an intent to supersede a specific matter.
Non-solicitation Agreement
You agree that during the period while you perform the coaching or mentoring services as described in this Agreement, and for two (2) calendar years following resignation, non-renewal, or termination of this Agreement, you will not encourage, solicit, or otherwise attempt to recruit, persuade, or entice away, directly or indirectly, any Physicians Anonymous client, coach/mentor, or payor to terminate their relationship with Physicians Anonymous Inc. and divert them to their own or somebody else’s practice, thereby eliminating Physicians Anonymous Inc. as an intermediary. If this happens, Physicians Anonymous Inc. will have the right to seek legal remedy.
Physicians Anonymous Inc. has spent considerable time, energy, and money launching and maintaining the Physicians Anonymous website and brand, advertising, and attracting clients. Therefore, diverting clients, coaches/mentors, or payors would cause direct business loss and diminished return on investment to Physicians Anonymous Inc.
